1. Agreement
These Terms of Service ("Terms") govern your engagement with Forged Marketing Inc. ("Forged", "we", "our"), a corporation incorporated under the laws of Québec, Canada. By signing a service agreement or making a payment to Forged, you ("Client") agree to these Terms in full. If you do not agree, do not engage our services.
2. Scope of services
Forged provides the following services under a monthly subscription:
- Website design and build — bilingual (EN/FR) renovation contractor website, live within 7 days of onboarding approval.
- Hosting and domain management — ongoing hosting, SSL, domain configuration, and technical upkeep.
- Monthly updates — text, image, or layout change requests submitted by email, fulfilled within 48 business hours (update allowance per tier).
- Basic SEO — on-page optimisation, meta tags, bilingual content structure, and sitemap, included in all tiers.
- Quarterly SEO review — included in the Pro tier only.
Services not listed in your signed agreement are out of scope and require a written amendment.
3. Payment terms
- No setup fee — there is no one-time setup charge. Your subscription begins at the monthly tier rate.
- Monthly subscription — billed on the same day each month from your first payment date. Services may be paused on accounts more than 14 days overdue.
- Late payments — accounts more than 30 days overdue are subject to a 1.5% monthly interest charge and suspension of services.
All fees are in Canadian dollars (CAD) unless otherwise specified. GST/QST will be applied where applicable.
4. Term and termination
Subscriptions are month-to-month with no minimum term. Either party may cancel at any time with written notice (email to hi@forgedmarketing.ca is sufficient), subject to the following:
- Notice must be provided before the next billing cycle to avoid being charged for that month.
- Outstanding invoices remain due upon cancellation.
- Forged will provide a file export (site assets, copy, images) within 14 days of the final billing date upon written request.
5. Client responsibilities
You agree to:
- Provide accurate business information and timely feedback during onboarding and ongoing work.
- Maintain your billing details in good standing.
- Ensure that any materials you provide (logos, photos, copy) do not infringe third-party intellectual property rights.
6. Intellectual property
Upon full payment of all outstanding fees, you own the creative deliverables (ad copy, landing page content, published articles) produced exclusively for your account. Forged retains ownership of its proprietary processes, templates, tools, and methodologies. Work-in-progress assets revert to Forged if the engagement is terminated with outstanding balances.
7. Limitation of liability
Forged provides website design, hosting, and maintenance services. We do not control search engine algorithms, third-party platform availability, or your business's operational factors. Accordingly:
- Forged is not liable for changes to search engine algorithms, hosting infrastructure outages, or third-party platform policy changes that affect site performance.
- Forged makes no guarantees of specific revenue outcomes, lead volumes, or search ranking positions.
- In no event shall Forged's total liability exceed the fees paid by you in the three months preceding the claim.
8. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement. Forged will not disclose your account data, sales figures, or campaign results to third parties without your written consent, except as required by law. This obligation survives termination of the engagement.
9. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the Province of Québec and the applicable laws of Canada. Any dispute arising from these Terms or your engagement with Forged shall be submitted to the exclusive jurisdiction of the courts of the Province of Québec. Before initiating formal proceedings, both parties agree to attempt resolution in good faith by written notice (email to hi@forgedmarketing.ca).
10. Changes to these Terms
We may update these Terms as our services evolve. Active clients will be notified by email at least 14 days before material changes take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
